JOB PURPOSE STATEMENT:
Lead corporate strategic and tactical legal initiatives. Provides senior management with effective advice on company strategies and their implementation. Manages the legal function, and obtains and oversees the work of outside legal counsel. This position will be directly involved in complex business transactions and negotiating crucial contracts.

ESSENTIAL DUTIES & RESPONSIBILITIES:
• Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on all legal matters including but not limited to general contracts, third party agreements, vendor supplier relationships, employment law, contracts, claims and Group trade secrets and on the legal implications of all matters.
• Serve as the key lawyer/advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
• Judge the merits of court cases filed against or on behalf of the company, work with the appropriate executives to define a strategic defense and approve settlements of disputes where warranted.
• Assume ultimate responsibility for ensuring that the Group conducts it business in compliance with all applicable laws and regulations.
• Structure and manage the Group’s internal legal function and staff.
• Selection, retention, management, and evaluation of all outside counsel
• Advise on the legal aspects of the Group’s financing including assessing and advising on current and future business structures and legal entities.
• Identify risks and propose alternatives to mitigate risks involved in potential transactions.
• Draft transactional documents dealing with acquisitions, financing and dispositions
• Provide asset and Group level due diligence
• Provide counsel and work as a team with other business units as necessary
EXPERIENCE
Minimum of 10 years’ experience in a law firm environment
Extensive exposure to and /or familiarity with the following areas of Saudi law: real estate, contract law, government regulation, employment law
Experience in working on matters of corporate governance and with a board of directors
Experience in managing other attorneys and supervising support staff in a corporation or large Group is required as well as experience with cost effective management of outside legal sources.
